OVERVIEW:
The course focuses on corporate and investment banking topics. In particular, it concentrates on the valuation issues through the explanation of the different methodologies developed and used within the industry. In addition, it focuses on the way in which a company can raise funds on the market and through private placements. Finally, some lectures will provide insights about corporate financial crises and the assets and debts restructuring processes.

CONTENTS DESCRIPTION:
The course includes the following lectures:

1. Valuation

         - Company value: introduction to equity and enterprise value, aim of valuation

         - Analytical and empirical methodologies: asset approach, earnings approach, cash flow approach, relative valuation approach, mixed methodologies (e.g.EVA)

2. Companies fund raising

         - Debt fund raising: structured bonds, ABS

         - Equity fund raising: capital increase: private offering and public offering (e.g. SEO). Listing on a Stock market Exchange

         - Project financing

         - LBOs

         - Private equity, venture capital and business angels

         - Structured operations: complex derivatives, CDs

         - Corporate Banking: short- and mid-term financing

3. Financial crises and corporate restructuring

         - Company crises and company restructuring

         - Asset restructuring

         - Debt restructuring

         - The restructuring market

 


ORGANIZATIONAL ISSUES:


The contents are provided through class lectures, which consist in both theoretical lessons and exercises. Students should attend class regularly and actively participate, contributing to classlearning and discussion. Students will be provided of the slides used during the lectures, available on the BeeP platform some days before the lesson. The learning process could also be supported by the following textbook:
Damodaran, Investment Valuation: Tools and Techniques for Determining the Value of Any
Asset - latest edition, Wiley Finance

 

As a support to the Professor, a teaching assistant is required in order to help in the preparation of the lessons and exams, in the organization issues of the course and in the support of teaching (i.e. exercises).


Note Sulla Modalità di valutazione

The final exam consists in a written test. Students could opt for carrying out two mid-term exams which, in case of achieving a positive result, are a substitute of the written test. Both the final written test and the two mid-term exams must be individually taken.
